1. License Grant

Subject to the terms and conditions of this Agreement, Licensor grants User a non-exclusive, non-transferable, revocable license to use the Web App for User's personal or business purposes.

2. Restrictions

a. User shall not sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit or make available to any third party the Web App.

b. User shall not modify, adapt, or hack the Web App, or otherwise attempt to gain unauthorized access to the Web App or its related systems or networks.

3. Intellectual Property

User acknowledges and agrees that the Web App, including but not limited to all copyrights, patents, trademarks, trade secrets, and other intellectual property rights, are owned by Licensor or its licensors.

4. Data Loss and Third-Party Sharing

a. User acknowledges that while reasonable precautions are taken to prevent data loss, Licensor does not guarantee the preservation of User data. User is responsible for regularly backing up important data.

b. User acknowledges and agrees that certain aspects of the Web App functionality may involve the sharing of User data with third-party companies. By using the Web App, User consents to such data sharing.

5. Service Interruptions

User acknowledges and agrees that the Web App service may be interrupted or discontinued at any time, with or without notice. Licensor will endeavor to provide notice of service interruptions or discontinuations whenever possible.

6. Experimental Nature of the App

User acknowledges and agrees that the Web App is experimental to a great extent. The functionality, performance, and features of the Web App may change without notice, and the Web App may contain errors, defects, or vulnerabilities.

7. Bug and Inconsistencies

User acknowledges and agrees that bugs in the Web App could make it inconsistent or incorrect. Licensor does not guarantee the absence of bugs or the accuracy of the Web App.

8. Disclaimer of Warranties

The Web App is provided "as is" and "as available" without warranty of any kind. Licensor expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

In no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising out of or in connection with this Agreement or the use of the Web App.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the USA, without regard to its conflict of law principles.

11. Entire Agreement

This Agreement constitutes the entire agreement between Licensor and User concerning the subject matter hereof, and supersedes all prior and contemporaneous understandings and agreements between the parties regarding the same.

12. Amendments

Licensor reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, Licensor will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Licensor's sole discretion.
